Terms & Conditions of Service

Welcome to Another Degree!

These Terms of Service (“Terms”) govern your use of the online services operated by Another Degree, LLC (“Another Degree,” “we,” or “us”), including the website, tools, and features that connect prospective mentees (“Users,” "you," or "your") with approved mentors (“Mentors”) (collectively, the “Services”). The Services allow Users to submit mentorship requests (“Requests”), be matched with one or more Mentors, and book virtual mentoring sessions (“Sessions”).

By accessing or using the Services, including by submitting a Request or booking a Session, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

THESE TERMS CONTAIN A MANDATORY AND BINDING INDIVIDUAL ARBITRATION CLAUSE, CLASS ACTION WAIVER, WAIVER OF RIGHT TO A JURY TRIAL, AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

Please read these Terms of Service carefully before accessing and using the Services. 

  1. Acceptance  

By accessing or using the Services, including by creating an account, submitting a Request, or booking a Session, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy available at https://www.anotherdegree.com/privacy. If you do not agree to these Terms, you may not use the Services.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms. In that case, “you” will refer to both you as an individual and the entity you represent. 

  1. Updates to these Terms

We reserve the right to update these Terms from time to time by posting an updated version on the Services. If we make material changes, we will provide notice through the Services or by email prior to the changes taking effect. At our sole discretion, we may also email registered Users with notification of changes. You are responsible for regularly reviewing these Terms, and your continued use of the Services after the effective date of a change constitutes your acceptance of the updated Terms. 

If you do not agree to the updated Terms, you must stop using the Services.

  1. Our Services

The Services are designed to connect prospective graduate students, current graduate students, academic writers, and career changers with advanced degrees with qualified Mentors who provide guidance and support through virtual mentoring Sessions. Users can submit Requests through the Services, receive curated matches with one or more Mentors, and book Sessions with the Mentor of their choice. All Sessions are scheduled through the Services and conducted virtually using a third-party Video Conferencing Provider (defined below).

In addition to one-on-one mentoring Sessions, the Services may also make available optional offerings from time to time, which may include, without limitation, professional editing services, virtual “flash” classes, research and dissertation coaching, professional education classes, group workshops, and other educational or mentoring resources. The availability of any optional services is at the discretion of Another Degree, and we reserve the right to add, modify, or discontinue such offerings at any time.

  1. User Eligibility

To use the Services as a User, you must be at least 18 years old, provide accurate and complete information when creating an account or submitting a Request, and not be barred from using the Services under applicable law. The Services are not targeted at children under the age of 18, and such Users are not permitted to use the Services. If you use the Services, you affirm that you are at least 18 years old. The Services may not be available to Users who have been removed from the Services by us.

  1. Mentor Eligibility

To participate as a Mentor, you must meet the eligibility requirements established by Another Degree, which may include, without limitation: (i) holding a graduate degree or being currently enrolled in a graduate program; (ii) having professional or academic experience relevant to mentoring prospective graduate students; (iii) submitting accurate profile information and supporting documentation, such as transcripts, resumes, or other credentials requested by Another Degree; and (iv) passing any background, reference, or verification checks Another Degree may require. Mentors will not be included on the Services until their documentation has been reviewed and approved by Another Degree.

Another Degree reserves the right to reject any application to become a Mentor on the Services for any reason or no reason at all, including, without limitation, insufficient education or experience, inaccurate or unverifiable application information, or saturation of Mentors in a particular subject area or industry. Approval as a Mentor is at the sole discretion of Another Degree, and submitting an application does not guarantee acceptance.

Another Degree may also limit the number of Mentors in certain categories, such as specific academic disciplines, professional fields, or areas of expertise, to maintain balance on the Services and ensure that the Services remain beneficial to all Users. Nothing in these Terms guarantees that a Mentor will be accepted into or remain active within any particular category.

Mentors must continue to meet all eligibility requirements for as long as they are active on the Services, including keeping credentials current, maintaining professional and ethical standards, providing accurate and updated profile information, and promptly notifying Another Degree of any changes that could affect eligibility. Another Degree reserves the right, in its discretion, to reject or remove any Mentor at any time, including if a Mentor fails to maintain eligibility.

  1. Specific Services Disclaimers  

Another Degree provides the Services solely as a platform to facilitate connections between Users and Mentors. Without limiting the general disclaimers in these Terms, you acknowledge and agree that:

  • No direct mentoring by Another Degree: Another Degree does not itself provide mentoring, coaching, or educational services. All mentoring and related services are provided independently by Mentors. The opinions expressed by any Mentor are their own and do not necessarily reflect the views of Another Degree.

  • Independent contractors: Mentors are not employees, agents, or representatives of Another Degree. Another Degree does not supervise, control, or direct the activities of Mentors.

  • No guarantees of outcomes: Another Degree does not guarantee admission to any academic program, the success of any application, or any particular academic or professional results.

  • Accuracy of information: While Another Degree strives to ensure the accuracy and reliability of profiles and other information provided through the Services, we cannot guarantee the accuracy, completeness, or reliability of any information provided on the Services, by a Mentor, or through any optional or linked services on the Services.

  • Optional services: Optional offerings, such as flash classes, research and dissertation coaching, professional education classes, or other programs, are provided for informational and educational purposes only and should not be considered a substitute for professional academic, legal, medical, or other expert advice.

  • User responsibility: Users are solely responsible for evaluating the qualifications and suitability of Mentors, and for deciding how to use or rely on any advice or information provided.

  • No endorsement: While Another Degree does not formally endorse or guarantee individual Mentors or services, we vet Mentors for qualifications and experience, and may recommend those who appear to align with a user’s stated goals or interests. The inclusion of any Mentor or optional service on the Services does not guarantee any specific outcome.

  • Third-Party Services: The Services rely on third-party tools, including Scheduling Provider (defined below), Video Conferencing Provider (defined below), and a Payment Processor (defined below). Another Degree is not responsible for the availability, reliability, performance, or security of these third-party services.

  • Interruptions: The Services may be subject to interruptions, errors, or delays, and Another Degree does not guarantee continuous or error-free operation.

  • No responsibility for conduct: Another Degree is not responsible for the actions, omissions, or conduct of any User or Mentor, whether online or offline.

  • No professional advice: Information provided through the Services, including optional classes or coaching, is for general guidance only and does not constitute legal, financial, medical, or other professional advice. Users should seek advice from qualified professionals where appropriate.

  • Compliance with laws: Another Degree does not guarantee that the use of the Services, or participation in mentoring or optional services, complies with the requirements of any jurisdiction. Users and Mentors are solely responsible for ensuring compliance with all applicable laws.

  • No medical or mental health services: The Services are not intended to diagnose, treat, or provide therapy for medical, psychological, or mental health conditions. Mentors are not medical providers, licensed therapists, or mental health professionals (unless explicitly stated in their qualifications, and even then, their role through the Services is limited to mentoring). If you are experiencing a medical or mental health emergency, please contact a qualified healthcare provider immediately or dial 911 (or your local emergency number).

If you choose to purchase a Session through the Services, you acknowledge that such purchase will create an agreement strictly between you and the applicable Mentor, and at no time shall we be liable or responsible for any disputes between you and any Mentor featured on the Services. Another Degree does, however, take User feedback seriously and may intervene administratively when necessary to uphold the standards of the Services.

You assume all risks associated with your use of the Services or participation in a Session, and agree to hold Another Degree, the Mentors, and all associated affiliates or successors harmless from and against any damage to personal or real property and any personal injury, including death.

  1. Access to the Services 

Subject to your compliance with these Terms, Another Degree grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for their intended purposes. You may use the Services only as permitted by these Terms and by applicable law.

Access to certain features of the Services requires a compatible device, a reliable broadband internet connection, and, in some cases, individual accounts for Third-Party Services (defined below). You are solely responsible for obtaining and maintaining all equipment, software, and internet access necessary to use the Services, and for paying any related charges. You must also agree to and comply with any terms and conditions provided by Third-Party Service providers that are necessary to use the Services. Another Degree is not responsible for your inability to access or fully participate in the Services due to inadequate equipment, unreliable internet connection, or other technical limitations.

Another Degree does not guarantee that the Services will always be available, uninterrupted, or error-free. Access may be suspended, limited, or terminated at any time for maintenance, upgrades, security reasons, or other business needs. Another Degree may also restrict or suspend access if you violate these Terms or applicable laws, misuse the Services, or create risks to Another Degree, other Users, or Mentors.

  1. User Accounts

To use certain features of the Services, you must create an account (“User Account”) by registering with your email address or by logging in through a supported third-party provider, such as Google or Facebook. When creating your User Account, you may be required to create a username, password, or provide third-party login details used to access your User Account (“Credentials”). Your Credentials must be accurate, truthful, and not misleading. You may not create Credentials that impersonate another person or entity, misrepresent your identity or affiliation, or contain vulgar, obscene, or otherwise inappropriate language.

When creating your User Account, you may be required to provide profile details, including your name, contact information, and other content that you choose to submit through the registration process or when you update your profile (“Account Information”). You may access and update your Account Information at any time through the “My Profile” section of the Another Degree website. All Account Information must be accurate, complete, and not misleading, defamatory, or otherwise unlawful. You agree to keep your Account Information up to date at all times. We will treat your Account Information in accordance with our Privacy Policy.

Your User Account is personal to you and may not be shared with any other User. You may not permit anyone else to access your User Account without Another Degree’s express written permission. You are responsible for safeguarding your Credentials and for all activity that occurs under your User Account. Any access to the Services made through your Credentials will be deemed to have been made by you. You must promptly notify Another Degree of any unauthorized use of your User Account or any other breach of security.

  1. User Responsibilities

As a User, you agree to use the Services only for their intended purposes and in compliance with these Terms and all applicable laws. You are responsible for the accuracy of all Requests and other information you submit through the Services, and for ensuring that your conduct on the Services is respectful, lawful, and professional.

You may not use the Services in any way that is fraudulent, misleading, defamatory, harassing, abusive, obscene, hateful, or otherwise harmful. You may not interfere with or disrupt the Services, attempt to gain unauthorized access to the Services or to other Users’ or Mentors’ accounts, or use the Services to send spam, solicitations, or other unwanted communications. You may not record, reproduce, or distribute any Session, in whole or in part, without the express prior consent of the applicable Mentor and Another Degree.

You are responsible for any decisions you make based on information obtained through the Services, including advice received from Mentors or through optional services. You are solely responsible for evaluating the qualifications and suitability of Mentors and for how you choose to use or rely on any advice or information provided.

  1. Mentor Responsibilities

As a Mentor, you agree to use the Services only for their intended purposes and in compliance with these Terms and all applicable laws. You are responsible for ensuring that all information you provide in connection with your Mentor profile, eligibility documentation, and participation in the Services is accurate, complete, and kept up to date.

You must conduct yourself in a professional, respectful, and ethical manner at all times when interacting with Users or other Mentors. You may not provide false or misleading information about your qualifications or experience, or engage in conduct that is fraudulent, harassing, defamatory, abusive, obscene, hateful, or otherwise harmful.

You are responsible for preparing for and attending all Sessions you accept, and for promptly notifying Another Degree and the affected User if you are unable to attend. You may not record, reproduce, or distribute any Session, in whole or in part, without the express prior consent of the applicable User and Another Degree.

You acknowledge that you are an independent contractor, not an employee, agent, or representative of Another Degree. You are solely responsible for any taxes, reporting, or compliance obligations that apply to you as a result of receiving payments through the Services.

  1. User and Mentor Conduct

All Users and Mentors must use the Services responsibly and agree not to:

  • Use the Services other than for its intended purpose.

  • Provide false, misleading, defamatory, obscene, harassing, abusive, hateful, discriminatory, or otherwise unlawful content or communications.

  • Engage in harassment, bullying, discrimination, or disrespectful conduct toward any User, Mentor, or Another Degree representative, or use the Services in any way to discriminate against any individual or class of individuals protected under federal, state, or local laws, or which may have a discriminatory impact against any individual or class of individuals, or which otherwise promotes illegal, racist, or discriminatory activities or outcomes.

  • Record, reproduce, or distribute any Session, in whole or in part, without the express prior consent of the other party to the Session and Another Degree.

  • Misrepresent their identity, qualifications, eligibility, or affiliation with any person or entity.

  • Share access to a User Account with another person without Another Degree’s express written permission.

  • Share nonpublic features of the Services or any content contained on the Services with any third party.

  • Interfere with or disrupt the Services, including by transmitting viruses, malware, or other harmful code.

  • Attempt to gain unauthorized access to the Services, to other Users’ accounts, or to Another Degree’s systems.

  • Use the Services for spam, solicitations, advertising, or other commercial purposes not expressly authorized by us.

  • Attempt to circumvent the Services by exchanging personal contact information with other Users or Mentors.

  • Make any payment to a Mentor other than as provided through the Services.

  • Infringe or misappropriate the intellectual property, privacy, or other rights of us, Users, Mentors, or third parties.

  • Reproduce, duplicate, copy, sell, rent, lease, resell, or exploit for commercial purposes any portion of the Services.

  • Modify or create derivative works based on the Services.

  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

  • Remove or alter any copyright, watermark, attribution marks, or other proprietary notices on the Services or contained in the software used to provide the Services.

  • Use or access the Services to provide time-sharing or other computer hosting services to third parties.

  • Upload, download, post, email, or otherwise transmit any material that contains software viruses or any other code, files, or programs designed to interrupt, destroy, or limit the functionality of any software, hardware, or equipment.

  • Use a robot, spider, scraper, or other automated means to access the Services for any purpose without our permission.

  • Access, tamper with, or use non-public areas of the Services. Unauthorized individuals attempting to access these areas of the Services may be subject to prosecution.

  • Disrupt or interfere with other Users' enjoyment of the Services.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software used to provide the Services.

  • Access the Services to build, or help others build, a similar or competitive product.

  • Frame or link to the Services except as permitted in writing by us.

  • Engage in conduct that could harm the reputation, security, or proper functioning of the Services or Another Degree.

Another Degree reserves the right to investigate any alleged violation of these rules, to remove or edit any content, and to suspend or terminate access to the Services for conduct that violates these Terms or creates risks to Another Degree, Users, Mentors, or any third party. You are encouraged to report misconduct, abuse, or violations of these Terms directly to us.

  1. Requests

Users may submit Requests through the Services at no cost. Each Request must be accurate, complete, and submitted in good faith. Users are solely responsible for the content of their Requests, including any goals, preferences, or supporting information. Requests may not contain false, misleading, defamatory, infringing, obscene, or unlawful material or requests.

Requests may be made in two ways: (1) direct Requests, where a User submits a Request directly to a particular Mentor; or (2) general placement Requests, where Another Degree uses the information provided by the User to identify and suggest one or more Mentors who may be suitable for the User.

For general placement Requests, Another Degree will use the information provided in a Request to identify and suggest one or more Mentors who may be suitable for the User. Matching is based on the information available to Another Degree and is provided as a convenience only. Another Degree does not guarantee that any particular Mentor will be available, that a Mentor’s qualifications will meet the User’s expectations, or that a match will result in a booked Session.

Direct Requests are available only for certain Mentors, at their discretion, or for Mentors with whom the User has previously conducted a Session. Mentors may change their preferences regarding the availability of Direct Requests at any time through their account settings, and Another Degree will make reasonable efforts to honor those preferences.

Mentors may review Requests made available to them through the Services, but may not use Request information for any purpose other than evaluating whether to accept a Session. Mentors must keep all Request information confidential, except as necessary to provide mentoring through the Services.

Users may not use the Services to request, and Mentors may not provide, any services that are unlawful, unethical, or inconsistent with academic integrity. This includes, without limitation, requests or services involving plagiarism, academic ghostwriting, falsification of records, or any conduct that violates applicable laws, institutional policies, or professional standards.

Mentors may provide guidance, coaching, and feedback, but may not complete assignments, research papers, dissertations, or other academic work on behalf of a User. Users are solely responsible for their own academic submissions and for ensuring that their use of the Services complies with the requirements of their applicable institution(s).

Another Degree reserves the right to remove or reject any Request that violates these Terms or that it deems inappropriate, unlawful, or harmful to the Services, Users, Mentors, or Another Degree, and may suspend or terminate any User Account and/or withhold payments, if it determines, in its discretion, that the Services are being used for prohibited purposes.

  1. Sessions

Sessions are virtual meetings between Users and Mentors arranged through the Services. All Sessions are scheduled using our third-party scheduling service provider, such as Wix Booking (“Scheduling Provider”) provided by Another Degree, and are conducted through a supported third-party Video Conferencing Provider (defined below). Users are responsible for booking Sessions by selecting from available time slots, and Mentors are responsible for keeping their availability up to date.

Users and Mentors are expected to conduct all Sessions in a professional, respectful, and lawful manner. Users must arrive on time and be prepared for each Session, and Mentors must begin Sessions promptly and provide guidance consistent with their stated qualifications and expertise. Both Users and Mentors must maintain a distraction-free environment during Sessions, including using appropriate language, attire, and behavior. Another Degree is not responsible for late arrivals, missed Sessions, or technical difficulties caused by inadequate equipment, unreliable internet connection, or other circumstances beyond Another Degree’s control.

Sessions may not be recorded, copied, or distributed without the express prior consent of the User, Mentor, and Another Degree. If a recording is approved, it may only be used for the limited purpose authorized by all parties. Content shared or discussed during a Session is intended for the benefit of the User and may not be repurposed, disclosed, or exploited by either party without authorization.

Another Degree reserves the right to monitor compliance with these Terms, but it does not supervise, control, or direct the content of Sessions. Mentors are solely responsible for the information and guidance they provide, and Users are solely responsible for how they choose to use or rely on such information. Another Degree reserves the right to investigate complaints regarding Session conduct and to suspend or terminate a User or Mentor for conduct that is unprofessional, disrespectful, unlawful, or otherwise inconsistent with these Terms.

  1. Session Fees

Each Session is subject to a fee (“Session Fee”), which is displayed and must be paid in full at the time of booking. Session Fees are processed through Another Degree’s designated Payment Processor (defined below), and you agree to comply with any terms and conditions of the Payment Processor in addition to these Terms. 

Session Fees are collected by Another Degree, which retains a service fee and remits the remainder to the applicable Mentor as described in the ‘Mentor Compensation’ section. Unless otherwise specified, Session Fees are non-cancellable and non-refundable once paid.

By purchasing a Session on the Services, you authorize Another Degree to charge you the full amount at the time of purchase. 

You must provide payment information through our Payment Processor to purchase Sessions through the Services, and Another Degree does not collect or store any financial information that could be used to make a charge. Another Degree facilitates payments for Sessions through our third-party Payment Processor, but is not itself a party to any transaction between a User and a Mentor. All Session Fees are charged to Users and paid out to Mentors through the Services as described in these Terms. Another Degree is not responsible for, and will not be liable for, any disputes, claims, or disagreements between a User and a Mentor regarding the amounts paid, the quality of services provided, or any other aspect of a Session. Any such disputes must be resolved directly between the User and the Mentor. 

The purchase of Sessions may be subject to applicable federal, state, or local taxes. Unless otherwise stated, Session prices displayed on the Services are exclusive of any such taxes. If Another Degree is later required to collect or withhold taxes in connection with your purchase of Sessions and your jurisdiction, we will notify you and collect those amounts at the time the Session is booked.

Users are responsible for ensuring that payment information is accurate and up to date. A Session is confirmed when you are provided a scheduling confirmation via email at the email address provided at the time of purchase. If you experience technical difficulties after submitting your payment, it is your responsibility to check your email for a confirmation. We are not responsible for any losses (monetary or otherwise) related to your failure to verify your Session confirmation. If a payment is declined, Another Degree may cancel the booking until the payment issue is resolved. 

  1. Rescheduling

Sessions may be rescheduled at any time, provided it is more than 24 hours prior to the scheduled Session start time. If the request is made within 24 hours of the scheduled Session start time, rescheduling may be offered at the Mentor’s discretion. No-shows or same-day cancellations are not eligible for rescheduling unless the Mentor expressly agrees to reschedule at no additional charge. Each Session may only be rescheduled once unless otherwise agreed by the Mentor. Sessions must be rescheduled through the rescheduling option provided in the email confirmation of the Session, or as otherwise provided on the Services.

Mentors who are unable to attend a scheduled Session must provide notice as soon as possible. If a Mentor reschedules a Session, your purchased Session will still be valid for the new date, and no further action is required. Another Degree reserves the right to suspend or remove Mentors who repeatedly cancel or reschedule Sessions without good reason.

Another Degree is not responsible for cancellations or rescheduling due to a User’s or Mentor’s failure to maintain the necessary equipment, internet connection, or third-party accounts required to access the Services.

  1. Refunds

Unless stated otherwise in these Terms, all Session Fees are final and non-refundable. Refunds are permitted only in the following limited circumstances: (i) if a Mentor is unable to reschedule the Session within 30 days of the originally-scheduled Session date (provided the reschedule request complied with the ‘Rescheduling’ section of these Terms; or (ii) if the Mentor is no longer active on the Services due to voluntary removal or being removed from the Services by us.

If a refund is approved under these circumstances, the Session Fee will be refunded to the same payment method used at the time of purchase. Associated service fees may be refunded only on a case-by-case basis. All refunds will be provided solely to the original payment method, and we are not responsible for issuing refunds to an alternative payment source.

If we process a refund in error, we reserve the right to recharge the original method of payment, limited to the amount issued in error. We reserve the right to cancel any Session purchased through the Services, without notice, if: (i) the amount paid for a Session is incorrect; (ii) the Mentor is no longer available on the Services; or (iii) any other error has occurred, whether due to human error or transactional malfunction on the Services. If Another Degree exercises this right to cancel a Session, you will receive a refund of the full amount paid, including the Session Fee and any associated fees.

Refunds provided under this Section are the sole and exclusive remedy available to Users in connection with canceled Sessions, rescheduling issues, or transactional errors.

  1. Mentor Payouts

Mentors will receive a flat fee for completed Sessions, in the amount specified in separate documentation between Mentor and Another Degree at the time of onboarding to the Services (“Mentor Fees”). Mentors have no right to receive payment for any Session that is not completed, including Sessions that are canceled, missed, or otherwise not delivered, regardless of whether it was the User or the Mentor who canceled. If a Mentor repeatedly reschedules Sessions or fails to reschedule a Session more than 24 hours before the Session start time, Another Degree may suspend the Mentor’s right to book Sessions, or remove the Mentor from the Services. 

Another Degree may update Mentor Fees at any time upon no less than 30 days’ prior written notice to Mentor. Mentor Fees will be paid to Mentor through Another Degree’s designated Payment Processor (defined below), and Mentors may be required to create and maintain an account with the Payment Processor (“Connected Account”) in order to receive payments. Alternatively, Another Degree may request ACH, bank account, or other payment information necessary to process payouts. Another Degree will consolidate payments owed to Mentors and issue payouts on a monthly basis, unless an alternative payout schedule is agreed in writing by us. Mentors are responsible for providing accurate and current payment details. Another Degree is not responsible for failed or delayed payouts caused by incorrect, incomplete, or outdated payment information. Another Degree will attempt to make payments to a Mentor for up to 180 days from the date the payment first becomes due. If, after that time, Another Degree is unable to complete payment due to reasons outside its control — including, without limitation, the Mentor’s failure to provide accurate payment information or to respond to communications — the Mentor will forfeit the right to receive such payment, and Another Degree may retain the funds.

Mentor agrees that the Mentor Fees are Another Degree’s sole obligation with regard to compensation for completed Sessions or other services provided by Mentor. Another Degree has sole discretion to determine the cost of Sessions to Users, along with any discounts, promotions, packages, or other arrangements offered to Users.

Before receiving any Mentor Fees, Mentors must provide all documentation required by Another Degree or our Payment Processor, which may include government-issued identification, proof of residency, or tax forms such as IRS Form W-9. If a Mentor fails to provide the required documentation, payments may be delayed or withheld until the documentation is complete. If a Mentor earns more than six hundred dollars ($600) in a calendar year, or if otherwise required by law, Another Degree will issue an IRS Form 1099 to the Mentor for tax reporting purposes. Mentors are solely responsible for reporting and paying all taxes associated with the amounts they receive through the Services. Another Degree does not provide tax or legal advice and will not be responsible for a Mentor’s failure to comply with applicable tax laws.

  1. Mentor Representations

By participating in the Services as a Mentor, you represent, warrant, and agree that:

  • All information you provide in connection with your profile, eligibility documentation, and participation in the Services is true, accurate, current, and complete. You will promptly update your information if it changes, and will not misrepresent your identity, credentials, qualifications, or professional experience.

  • You have the skills, experience, qualifications, and other attributes described in your profile or otherwise communicated to us or to a User.

  • You will treat all Confidential Information (defined below) you receive from Users or Another Degree in accordance with the Confidentiality section of these Terms. You will not use any Confidential Information for your own personal, academic, or professional benefit, or for any purpose other than providing mentoring services through the Services.

  • You will provide mentoring services in a manner that is lawful, ethical, and consistent with academic integrity. You will not engage in plagiarism, ghostwriting, falsification of records, or any other unlawful or unethical practices. 

  • You will comply with all applicable laws, regulations, and institutional policies related to your services.

  • You have all the necessary licenses, permits, and other legal requirements necessary in your jurisdiction to provide the mentoring services, and you will maintain such requirements at all times while providing the services.

  • You will not make use of the Services or any Session for the unsolicited promotion of any goods, products, or services other than the Session itself. For clarity, you cannot offer your own products or services or the products or services of any other party unless specifically requested by the applicable User.

  • You shall, at all times, hold itself out to Users under your own name and not any other party, including, without limitation, Another Degree.

  • You will not make any additional representations or warranties to a User on behalf of Another Degree, or otherwise represent to any person that you are an agent of Another Degree. If you do so, you assume all risks, costs, and expenses associated with such representations and warranties and agree to indemnify and hold us harmless.

  • You will not disclose your personal contact information to Users or submit messages, illustrations, or other content that would facilitate direct contact with a User outside of the Services.

  • You will not solicit or accept payment directly from Users outside of the Services for mentoring, coaching, or any related services. All mentoring-related payments must be processed through the Services. You will not take any action to circumvent the Services or Another Degree’s role in facilitating Sessions, including attempting to avoid payment of Service Fees.

  • You acknowledge and agree that you are an independent contractor, not an employee, agent, or representative of Another Degree. You are solely responsible for any taxes, reporting, insurance, or other obligations that apply to you as a result of providing services through the platform. Nothing in these Terms creates any partnership, joint venture, or employment relationship between you and Another Degree.

  1. Mentor Publicity

By making yourself available to provide mentoring services through the Services, you acknowledge and agree that Another Degree may advertise the services you provide via the Services to Users or the public. Without additional authorization, Another Degree may publicly display your title, first name, and general education and experience information.

For any other information you provide in connection with your Mentor profile — including, without limitation, your full name, image, likeness, biographical details, contract information, or professional background — Another Degree will obtain your authorization before making such information publicly available. By granting such authorization, you hereby provide Another Degree with a non-exclusive, worldwide, royalty-free right and license to use that information for purposes of operating, promoting, and improving the Services. This license does not entitle you to any additional payment or compensation and remains in effect as long as your Mentor profile is active on the Services.

  1. Session Video Conferencing

All Sessions will be conducted through the Services using virtual conference tools provided by third-party video conferencing services, such as Zoom (“Video Conferencing Provider”). The Video Conferencing Provider may have its own terms and conditions, privacy policy, and other legal agreements applicable to your use of their platform. By scheduling a Session, you consent to the use of the Video Conferencing Provider and its applicable terms and conditions, which may differ from these Terms. In the event of a conflict, the applicable Video Conferencing Provider terms shall control. 

You acknowledge that we cannot and do not guarantee the confidentiality, privacy, or security of the communications conducted during your Session. All use of the Video Conferencing Provider and all communications with a Mentor during a Session are entirely at your own risk. 

  1. Another Degree Community

Another Degree may, from time to time, make available an online community or collective (“Another Degree Community”) hosted through Whop.com or another Third-Party Service. Access to the Another Degree Community is not included as part of the Services and is not managed through Another Degree’s platform. Instead, Users may obtain access directly through Whop.com (or another applicable Third-Party Service). The Another Degree Community may be made available for free or for a charge, and the User will be required to pay any applicable fees charged by Whop.com or the applicable Third-Party Services provider. All payments for Another Degree Community access, if applicable, are processed exclusively by Whop.com (or the applicable Third-Party Service), and Another Degree does not collect, process, or control such payments.

Participation in the Another Degree Community is optional and subject to the terms of service, privacy policy, and other applicable policies of Whop.com (or the applicable Third-Party Service), which you must review and accept before gaining access. Another Degree is not responsible or liable for any content, conduct, transactions, or activities that occur within the Another Degree Community or on any Another Degree Community pages.

Another Degree makes no guarantees regarding the availability, quality, or outcomes of participation in the Another Degree Community and may suspend or discontinue the Another Degree Community, in whole or in part, at any time in our sole discretion without notice.

  1. Non-Circumvention

You acknowledge that we use substantial labor and effort to connect Users with Mentors through the Services. As such, you agree not to circumvent or attempt to circumvent the Services. If you are a Mentor, this means that you will not provide Sessions to Users, and if you are a User, you will not solicit Sessions from a Mentor, other than through the Services. In furtherance of this provision, you agree that all communications with Users and/or Mentors introduced to you through the Services will be conducted solely through the Services. Without limiting our other rights or remedies available under these Terms or at law, we may suspend or terminate your access to the Services at any time if we reasonably believe that you are attempting to circumvent the Services.

  1. User-Generated Content

Our Services may allow you to create Requests, including Request descriptions, imagery, and related information, and the Services may also contain blogs, message boards, shared drives and cloud storage, chat rooms, and other interactive features that allow you to upload, create, link, share, access, and otherwise submit information and content (collectively, “User-Generated Content”). User-Generated Content additionally includes any content that you make available during a Session. User-Generated Content will be treated as non-confidential and may be viewable by Mentors and other Users. You are solely responsible for the accuracy, quality, integrity, and legality of your User-Generated Content.

You agree not to upload, download, post, email, or otherwise transmit any content that, without limitation:

  • Contains your contact information or any other information intended to permit communication with another User or Mentor outside of the Services.

  • Infringes, misappropriates, or otherwise violates the intellectual property or proprietary rights of any third party.

  • Contains false, misleading, or deceptive information.

  • Violates another person’s rights of publicity, celebrity, or privacy, including, without limitation, uploading a picture or likeness of another person without their consent.

  • Contains images, content, or illustrations depicting animal cruelty or violence.

  • Promotes or depicts illegal activities, including, without limitation, illegal drug use, underage drinking, illegal gambling, fraud, or other unlawful or unaccepted business practices.

  • Contains or promotes raffles, sweepstakes, giveaways, multi-level marketing schemes, or otherwise promotes commercial products or services not expressly authorized by Another Degree.

  • Misrepresents your affiliation with, or impersonates, another person, organization, or business entity.

  • Contains images, content, or illustrations that promote or glorify weapons, firearms, explosives, or violence.

  • Is unlawful, harmful, threatening, abusive, vulgar, harassing, defamatory, obscene, pornographic, profane, indecent, inflammatory, libelous, tortious, hateful, discriminatory, or otherwise objectionable on the basis of race, ethnicity, gender, religion, sexual orientation, disability, or any other protected category.

  • Constitutes unsolicited or unauthorized advertising, promotional materials, “junk mail,” spam, chain letters, pyramid schemes, or any other form of solicitation.

  • Would constitute or encourage a criminal offense, give rise to civil liability, or otherwise violate any local, state, or national law.

  • Incites, promotes, or supports discrimination, hostility, or violence against any individual or group.

  • Contains malicious code, viruses, or other harmful software intended to damage, interfere with, or disrupt the Services or the systems of other Users or Mentors.

  • Interferes with or undermines the academic integrity of any institution, including but not limited to requests for plagiarism, ghostwriting, or other unethical academic practices.

We or our designees shall have the right (but not the obligation), at our sole discretion, to reject or remove User-Generated Content that is available via the Services if it violates these Terms or is otherwise objectionable to us, and we may do so without any obligation to you, monetarily or otherwise. 

  1. License to User-Generated Content

You agree that any User-Generated Content that you post or make available through the Services is your original content or that you otherwise have all necessary rights and permission to use or post such User-Generated Content.

By providing User-Generated Content to Another Degree through the Services, you grant Another Degree a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User-Generated Content in any media or format now known or later developed. You acknowledge and agree that Another Degree may record, store, edit, or otherwise modify your User-Generated Content at its discretion, including, without limitation, correcting typographical errors, formatting for display, or adding the Another Degree name or logo. You further agree that your User-Generated Content may be published or displayed on the Services, on our social media accounts, and in other advertising, promotional, marketing, and quality assurance materials. You retain ownership of your User-Generated Content, subject to the license granted to us in this section. You understand that Another Degree has no obligation to use, display, or maintain any User-Generated Content, and may remove it at any time for any reason or no reason at all. You are solely responsible for ensuring that your User-Generated Content complies with these Terms, including the restrictions set forth in the Prohibited User-Generated Content section.

  1. Confidentiality

In the course of using the Services, Users and Mentors may share or receive information that is personal, academic, professional, or otherwise sensitive (“Confidential Information”). Confidential Information includes, without limitation, Request details, application materials, academic or professional records, Personal Information (defined in our Privacy Policy), mentoring strategies, and any other nonpublic information disclosed in connection with the Services. Confidential Information does not include information that: (i) is or becomes publicly available without breach of these Terms; (ii) was lawfully known to the receiving party before disclosure; (iii) is independently developed without use of or reference to the Confidential Information; or (iv) is lawfully obtained from a third party without restriction.

Users and Mentors agree to keep all Confidential Information received through the Services strictly confidential and to use such information only as necessary to participate in mentoring or optional services through the Services. Confidential Information may not be disclosed to any third party without the express prior consent of the disclosing party, except where required by law. Confidential Information may not be used for any personal, academic, or professional gain outside of the Services, including, without limitation, incorporating a User’s ideas, materials, or research into a Mentor’s own work.

You acknowledge that we cannot control, and are not responsible or liable for, the use or disclosure of your Confidential Information by other Users or Mentors with whom you choose to share it. You acknowledge that you share Confidential Information through the Services at your own risk and agree to hold Another Degree harmless from any claims, losses, or damages arising out of or relating to the use, misuse, or disclosure of your Confidential Information by another User or Mentor.

  1. Data Security

Another Degree takes reasonable steps to protect Confidential Information submitted through the Services, but cannot guarantee the security of information transmitted over the internet or through third-party platforms such as the Video Conferencing Provider, Payment Processor, or Scheduling Provider. You understand that the technical processing and operation of the Services, including the processing of your Confidential Information, may involve transmissions over various networks and changes to conform and adapt to the technical requirements of connecting networks or devices. We will maintain commercially reasonable administrative, physical, and technical safeguards designed for the protection, confidentiality, and integrity of your Confidential Information. You acknowledge and agree that hosting content online involves risks of unauthorized disclosure or exposure, and that by accessing and using the Services, you assume these risks. We offer no representation, warranty, or guarantee that your information will not be exposed or disclosed through errors or actions of third parties or us, including negligence. By using the Services, Users and Mentors acknowledge and accept these limitations. 

  1. User Privacy

In using the Services, you may transmit Personal Information (defined in our Privacy Policy) to us, other Users, or to Mentors. You understand that we do not control the types of Personal Information that you share with other Users, and that we cannot control how such Users will use or disclose your Personal Information. Our Privacy Policy outlines the categories of Personal Information and other data we collect, as well as how we collect, store, and use it. By accepting these Terms, you expressly consent to our disclosure and use of your Personal information as described in our Privacy Policy. We encourage you to read our Privacy Policy before you submit any Personal Information to the Services. 

Without limiting the terms of our Privacy Policy, you acknowledge and agree that we may disclose your Personal Information, including your name, email address, and account activity, when we believe, in our sole discretion, that such disclosure is necessary or appropriate to: (i) comply with legal processes; (ii) enforce these Terms; (iii) respond to claims that your User-Generated Content violates the rights of third-parties; (iv) to investigate the use of or respond to alleged violations or infringement of Third-Party Content (defined herein); or (v) to protect our rights, property, or personal safety or that of other Users or the public.

  1. Term and Termination

These Terms of Service continue in full force and effect while you are using the Services. We, without prior notice, may suspend or terminate your use of the Services at any time if, in our sole discretion, your use of the Services is in violation of these Terms or applicable laws or if we otherwise reasonably believe that your use of the Services could cause damage to the Services, the rights of other Users or Mentors, or for any other reason, even if not expressly set forth in these Terms. Our right to suspend and/or terminate your access to or use of the Services does not limit our right to seek any other remedy through these Terms or at law.

Suspension or termination of your right to access the Services may result in the deletion of your User Account and all associated Personal Information and User-Generated Content. Upon notice of suspension or termination of your User Account, you agree to stop accessing or using the Services immediately. If we terminate your access or use of the Services for cause, your right to access any scheduled and incomplete Sessions will cease, and we will have no obligation to refund any Session Fees or provide you with any other refund, credit, or other benefit.

  1. Preservation of Your Account Information

We reserve the right, but not the obligation, to maintain your Personal Information, even after your User Account is closed. You acknowledge and agree that we may preserve your Personal Information and may also disclose your Personal Information for as long as necessary to enforce our legal agreements, including these Terms, and maintain a record of transactions on the Services, such as the purchase by you of Sessions, and for any other purposes unless expressly prohibited by applicable law.

  1. Our Proprietary Rights

You acknowledge and agree that the Services contain proprietary information protected by copyright, trademark, and other applicable intellectual property and proprietary laws. Another Degree and our licensors retain all rights, title, and interest in and to the Services, including, without limitation, all software, technology, text, graphics, logos, names, trade names, service marks, trade dress, designs, audio, video, data, documentation, and other materials provided by us (collectively, “Another Degree IP”).

Nothing in these Terms transfers or assigns to you any ownership interest in the Another Degree IP. Subject to your compliance with these Terms, you are granted only a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for their intended purposes. These Terms do not grant you any right to reproduce, copy, modify, adapt, translate, prepare derivative works of, distribute, license, sell, resell, transfer, publicly display, publicly perform, transmit, or otherwise exploit the Another Degree IP, except as expressly permitted under these Terms or with our prior written consent.

All rights not expressly granted in these Terms are reserved by Another Degree and its licensors. Unauthorized use of the Another Degree IP may violate intellectual property laws and may result in termination of your User Account, in addition to any other remedies available to us at law or in equity.

  1. Feedback

You may provide us or make public on the Services notes, emails, postings, letters, suggestions, reviews, concepts, or other written materials related to the Services (collectively, “Feedback”). You acknowledge and agree that you do not maintain and will not assert any ownership, intellectual property rights, or other rights to the Feedback. You further agree that any Feedback provided to us will not be considered Confidential Information and that we are permitted to freely share, disclose, modify, create derivative works of, or otherwise use the Feedback for any purpose. Should the ownership of the Feedback be found under applicable law not to be our property, you hereby grant us a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate Feedback into any of our products or services. 

  1. DMCA Notice

We respect the intellectual property rights of others. Pursuant to the Digital Millennium Copyright Act (DMCA), we will respond expeditiously to claims of copyright infringement on the Services if submitted to our designated Copyright Agent, as described below. Upon receipt of a notice alleging copyright infringement, we will take whatever action we deem appropriate within our sole discretion, including removal of the allegedly infringing materials and termination of access for repeat infringers of protected content.

If you believe that your intellectual property rights have been violated by a third party who has uploaded materials to our Services or by us, please provide the following information to the designated Copyright Agent listed below:

  • A description of the copyrighted work or other intellectual property that you claim has been infringed;

  • A description of where the material that you claim is infringing is located on the Services;

  • An address, telephone number, and email address where we can contact you and, if different, an email address where the alleged infringing party, if not we, can contact you;

  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner or other intellectual property rights owner, by its agent, or by law;

  • A statement by you under penalty of perjury that the information in your notice is accurate and that you are the copyright or intellectual property owner or are authorized to act on the owner's behalf; and

  • Your electronic or physical signature.

We may request additional information before removing any allegedly infringing material. If we remove the allegedly infringing materials, we may notify the person responsible for posting such materials that we have removed or disabled access to them. We may also provide the responsible person with your email address so they may respond to your allegations.

Our Services are intended for Users over 18. As such, we do not implement technological controls intended to prevent minors from visiting our Services and must rely on parents and guardians to decide what content and materials are appropriate for children to view and purchase. There are parental control protections available that may assist parents in limiting access to content and materials that may be harmful to minors, and if you are a parent or guardian of a User of our Services, you are encouraged to determine the applicability of parental controls for use with the Services.

  1. Third-Party Content

The Services may contain content or links to third-party websites, advertisements, and other content not owned or controlled by us (“Third-Party Content”). We do not endorse or assume any responsibility for any such Third-Party Content. If you access Third-Party Content from the Services, you do so at your own risk and understand that these Terms and our Privacy Policy do not apply to your use of Third-Party Content. You expressly relieve us from any and all liability arising from your use of Third-Party Content, and any terms related to Third-Party Content are solely between you and the Third-Party Content provider. You agree that we will not be responsible for any reliance or damages relating to your use of Third-Party Content.

  1. Third-Party Services

The Services may provide access to or integrate with third-party applications, services, websites, and other services that are not owned or controlled by us (“Third-Party Services”). Third-Party Services include, without limitation, the Payment Processor (defined below), Scheduling Provider, and Video Conferencing Provider. All Third-Party Services are provided “As-Is,” and we do not warrant any Third-Party Services, regardless of whether they are required to use our Services. We do not endorse or assume any responsibility for Third-Party Services, and you expressly relieve us from any and all liability arising from your use of Third-Party Services. If you access Third-Party Services from the Services, you do so at your own risk and understand that any use by you of Third-Party Services is solely between you and the applicable Third-Party Services provider and that these Terms do not apply to your use of Third-Party Services. We shall not be responsible for any disclosure, modification, or deletion of your Confidential Information, Personal Information, or User-Generated Content resulting from access by Third-Party Services. Additionally, we are not responsible for downtime or unavailability of Third-Party Services outside our reasonable control, and in no event will we be liable for any indirect, special, incidental, punitive, or consequential damages, including loss of data, business interruption, or loss of profits arising from the use or the inability to use Third-Party Services.

  1. Payment Processor

All payments made through the Services are processed through a third-party payment processor (“Payment Processor”). By utilizing our third-party Payment Processor, you agree to their separate terms of service and/or privacy policy. We reserve the right to change the Payment Processor at any time. You understand and agree that we will not be held liable for your failure to complete a transaction through a Payment Processor on the Services. We are in no way responsible for resolving any dispute, support, penalty, or issue that may occur between you and the Payment Processor or any Mentor.

  1. Disclaimer of Warranties  

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, ANOTHER DEGREE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, ANOTHER DEGREE MAKES NO WARRANTY THAT: (I) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (II) THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (IV) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (V) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR PARTICULAR PURPOSES; (VI) ANY ADVICE, INFORMATION, OR GUIDANCE PROVIDED BY MENTORS IS ACCURATE, COMPLETE, OR RELIABLE; OR (VII) THE SERVICES WILL CONTINUE TO BE AVAILABLE, OR THAT ANY USER OR MENTOR WILL OBTAIN ANY PARTICULAR OUTCOME OR EARNINGS THROUGH THE SERVICES.

ANY INFORMATION, CONTENT, OR MATERIALS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, ACADEMIC, MEDICAL, MENTAL HEALTH, OR OTHER PROFESSIONAL ADVICE. YOU SHOULD NOT RELY ON SUCH INFORMATION AS A SUBSTITUTE FOR PROFESSIONAL ADVICE TAILORED TO YOUR SITUATION. USERS ACKNOWLEDGE THAT ANY RELIANCE ON INFORMATION OR GUIDANCE PROVIDED BY MENTORS IS AT THEIR OWN RISK, AND MENTORS ACKNOWLEDGE THAT ANOTHER DEGREE DOES NOT GUARANTEE ANY MINIMUM INCOME, BUSINESS OPPORTUNITY, OR CONTINUED ACCESS TO THE SERVICES.

YOU AGREE THAT ANOTHER DEGREE IS NOT RESPONSIBLE OR LIABLE FOR ANY (A) DAMAGES TO YOUR COMPUTER, MOBILE DEVICE, OR OTHER EQUIPMENT, OR (B) LOSS OR CORRUPTION OF DATA, THAT RESULTS FROM YOUR ACCESS TO OR USE OF THE SERVICES OR ANY CONTENT PROVIDED THEREIN. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY ANOTHER DEGREE OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY SET FORTH IN THESE TERMS.

  1. Limitation of Liability  

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES, INCLUDING, WITHOUT LIMITATION, OUR NEGLIGENCE, WILL WE OR OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, TRANSMITTING, OR DISTRIBUTING THE SERVICES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USER DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) THAT ARISE OUT OF OR RELATE TO THE SERVICES OR THESE TERMS.

THIS LIMITATION APPLIES, WITHOUT LIMITATION, TO: (I) YOUR USE OR INABILITY TO USE THE SERVICES; (II) ANY ACTIONS WE TAKE OR FAIL TO TAKE IN RESPONSE TO MESSAGES YOU SEND US; (III) STATEMENTS OR CONDUCT OF ANY OTHER USER, MENTOR, OR THIRD PARTY, WHETHER ONLINE OR OFFLINE; (IV) ANY LOSS OR DAMAGE RELATED TO THE ADVICE, RECOMMENDATIONS, OR OTHER INFORMATION GAINED OR PROVIDED THROUGH A SESSION; (V) ANY PERSONAL OR PROPERTY DAMAGES (INCLUDING PERSONAL INJURY OR DEATH) YOU SUFFER AS A RESULT OF YOUR USE OF THE SERVICES, WHETHER OCCURRING BEFORE, DURING, OR AFTER A SESSION; OR (VI) ANY OTHER MATTER RELATING TO YOUR USE OR INABILITY TO USE THE SERVICES OR TO COMPLETE A SESSION.

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES. TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU UNDER THESE TERMS EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100), OR (B) THE AMOUNT YOU HAVE PAID IN SESSION FEES RELATING TO THE SESSION OR REQUEST GIVING RISE TO THE CLAIM.

ANY CLAIM ARISING UNDER THESE TERMS MUST BE BROUGHT WITHIN 12 MONTHS AFTER THE SESSION OR REQUEST GIVING RISE TO THE CLAIM WAS COMPLETED OR SHOULD HAVE BEEN COMPLETED; OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

  1. Indemnification  

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO RELEASE, INDEMNIFY, AND HOLD HARMLESS US AND OUR OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, AND EACH PARTY’S RESPECTIVE SUCCESSORS AND ASSIGNS (“INDEMNIFIED PARTIES'') FROM ANY THIRD-PARTY CLAIM, SUIT, PROCEEDING, OR GOVERNMENT ENFORCEMENT ACTIONS ARISING OUT OF, RELATED TO, OR ALLEGING AN INJURY OR LOSS CAUSED BY YOUR ACCESS AND USE OF THE SERVICES THAT, WITHOUT LIMITATION, INCLUDES: (I) YOUR ACCESS TO OR USE OF THE SERVICES FOR ILLEGAL, FRAUDULENT, OFFENSIVE, OR TORTIOUS PURPOSES; (II) YOUR INTERACTION WITH OTHER USERS AND MENTORS; (III) YOUR VIOLATION OF THESE TERMS; OR (IV) YOUR VIOLATION OF ANY RIGHTS OF ANY THIRD-PARTY. IN ANY EVENT, WE WILL HAVE THE RIGHT TO PARTICIPATE IN THE DEFENSE OF ANY SUCH PROCEEDING THROUGH COUNSEL OF OUR OWN CHOOSING AT OUR OWN EXPENSE. YOU WILL ALSO INDEMNIFY AND HOLD HARMLESS THE INDEMNIFIED PARTIES FROM ANY COSTS AND EXPENSES, INCLUDING REASONABLE ATTORNEYS’ FEES, INCURRED IN RESPONDING TO ANY LEGAL ACTION, SUBPOENA, SEARCH WARRANT, OR COURT ORDER REQUIRING THE PRODUCTION OF INFORMATION OR DOCUMENTS RELATED TO (I) THROUGH (IV) ABOVE.

USERS AND MENTORS AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ANOTHER DEGREE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY CLAIMS, DAMAGES, LIABILITIES, LOSSES, OR EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR RELATED TO ANY PROHIBITED REQUESTS OR SERVICES, INCLUDING ANY VIOLATION OF ACADEMIC INTEGRITY POLICIES, APPLICABLE LAWS, OR THESE TERMS.

  1. Release

If you have a dispute with one or more Users or Mentors, you release Another Degree (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. 

YOU HEREBY WAIVE CALIFORNIA CIVIL CODE §1542, OR ANY SIMILAR REQUIREMENT IN ANY OTHER JURISDICTION, WHICH STATES: 

"A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR."

  1. Dispute Resolution

For any dispute between you and a Mentor and/or User, you are advised to contact the Mentor directly. You may also contact us at info@anotherdegree.com, and we may, but are not obligated to, attempt to resolve the dispute informally by contacting the applicable Mentor. All dispute decisions by us are final and are at our sole discretion. If you disagree with our decision, then you may pursue whatever option is available to you with respect to the User and/or Mentor, but you acknowledge and agree that Another Degree will not be a party to such a dispute and has no obligation to provide assistance or otherwise take part in the dispute resolution process beyond the actions specified in this subsection.

For any dispute with us, you agree first to contact us at info@anotherdegree.com and attempt to resolve the dispute for at least 60 days before initiating any arbitration or court proceeding. If we are unable to resolve the dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this provision to arbitrate, shall be determined solely and exclusively by binding arbitration before a single arbitrator. You and we also agree that the arbitration shall be conducted by the American Arbitration Association (AAA) under the Commercial Arbitration Rules and that such arbitration will be conducted in Los Angeles, California, unless you and we agree otherwise. Each party will be responsible for paying AAA filing, administrative, and arbitrator fees in accordance with AAA rules. The award rendered by the arbitrator shall include costs of arbitration, reasonable attorneys’ fees, and reasonable costs for expert and other witnesses, and any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. This arbitration provision is governed by the Federal Arbitration Act.

ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY, AND NO CLASS ACTION OR REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL THEORIES OF LIABILITY OR PRAYERS FOR RELIEF MAY BE MAINTAINED IN ANY ARBITRATION OR OTHER PROCEEDING UNDER THESE TERMS. UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND WE ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

  1. Governing Law

The laws of the United States and the State of California shall govern these Terms without regard to the principles of conflict of laws. Any dispute between the parties excluded from the arbitration provision or that cannot be heard in small claims court shall be resolved in the United States District Court for the Central District of California, and the parties submit to the personal jurisdiction of that court. If neither subject matter nor diversity jurisdiction exists in the United States District Court for the Central District of California, then the exclusive forum and venue for any such action shall be the courts of the State of California, located in Los Angeles County, and the parties hereby submit to the personal jurisdiction of that court.

  1. Entire Agreement

These Terms of Service and any other terms and agreements incorporated herein by reference constitute the entire agreement between you and us concerning the Services.

  1. Severability

In the event that any provision of these Terms is considered invalid, illegal, or unenforceable by a court of competent jurisdiction having authority to bind the parties under any applicable statute or rule of law, such provision shall be deemed amended to achieve as nearly as possible the same economic effect as the original provision and the remaining provisions of these Terms shall in no way be affected or impaired.

  1. No Waiver

Our failure at any time to enforce any of the provisions of these Terms or any right or remedy available hereunder or at law or in equity, or to exercise any option herein provided, will not constitute a waiver of such provision, right, remedy or option or in any way affect the validity of these Terms. A waiver of any default by us will not be deemed a continuing waiver but will apply solely to the instance to which such waiver is directed.

  1. Headings; Summaries

The section headings appearing in these Terms are inserted only as a matter of convenience and in no way define, limit, construe, or describe the scope or extent of such section or affect such section.

  1. Notices and Electronic Communication

By providing us with your email address, you consent to receive our related communications and notices electronically, and you agree that all agreements, notices, disclosures, and other communications that we provide to you via the Services or email satisfy any legal requirement for such communications to be in writing.
